1. Parties
1.1. This User Agreement (“Agreement”) is established between Parley Bilişim ve Danışmanlık Ltd. Şti. (“Succefy”), a taxpayer with a central office located at Acıbadem Mah. Çeçen Sk. No:25/426 Üsküdar Istanbul, registered with the Mersis No 0722096602700001, at the Üsküdar Tax Office, with the tax identification number 7220966027, and the individual(s) (“User(s)”) who benefit from and/or use the platform found on the internet site operated by Succefy at https://succefy.com (this website and the platform will collectively be referred to as the “Site”). (Succefy and the User are each referred to as a “Party” and collectively as the “Parties”).
1.2. Each User, by using the Site, accepts and confirms this Agreement. Thus, every User who registers on the Site becomes a Party to this Agreement and accepts to be bound by the obligations stipulated for them under the Agreement.
1.3. The User also, by confirming this Agreement (and thereby becoming a Party to the Agreement), accepts any and all notifications made by Succefy in general through the Site or specifically to certain or all Users via the User’s contact information. That is, Succefy has the right to unilaterally change the operation, rules, and conditions of any and all services provided through the Site at any time. If Succefy makes such a unilateral change, it may announce this condition on the Site or communicate it to all Users via their registered e-mail address. The rights and obligations of the User under this Agreement will be deemed to have been amended with such an announcement and (if any) notification(s). However, Succefy is not obliged to announce or notify such a unilateral change. The User is responsible for following the Site and monitoring the changes made.
1.4. Succefy may unilaterally amend this Agreement at any time. An amendment to the current Agreement on the Site by Succefy will be binding for all Users. Succefy is not obliged to announce such changes, and Users are responsible for following the most recent version of the Agreement on the Site.
2. Subject of the Agreement
This Agreement regulates the rights and obligations of the Parties in relation to the Service (defined in Article 3 below) that Succefy can offer to the User through the Site, as well as the use of the Site by the User.
3. Service Provided by Succefy
3.1. Succefy is a service in the form of an artificial intelligence-supported software platform (also known as Software as a Service - SaaS) that allows Users via the Site to create online resumes, cover letters, resignation letters, and includes additional features related to job searching/finding that may be added later. In this context, Succefy enables Users who have created memberships on the Site to generate online documents such as resumes, cover letters, resignation letters by processing the information they enter into the relevant areas on the Site into templates owned by Succefy, and to download these documents onto personal devices such as computers, tablets, mobile phones. Users can create their application documents and benefit from other features by becoming members of the Site with one of the free (Free) or paid (Premium, Lifetime) membership options provided by Succefy. The paid membership purchased by Users continues until the Users cancel the related subscription. Users can also purchase the Succefy Gift Card service to gift the paid membership packages offered by Succefy to acquaintances who are job seekers (other Users), thus supporting their job search efforts. (The service that Succefy aims to offer through the Site will be briefly referred to as "Service").
3.2. Succefy is not under any obligation to provide the aforementioned Service and offers the Service - as explained in this Agreement - only in manners and forms it deems appropriate at its own discretion. Succefy does not guarantee job placement for Users.
4. User's Rights and Use of the Site
4.1. The User can create a free membership on the Site using an email address and a password of their choosing without making any payment. The User who creates a free (Free) membership on the Site acknowledges that they can only benefit from Succefy's features in a limited way, will not be able to use artificial intelligence applications, Succefy can always unilaterally amend these features any time without prior notice, and that the free service limits are restricted as stated at ###.
Each user is entitled to create only one (1) Free membership on Succefy for a one-time use. If Succefy detects that a user is attempting to use the site for free with multiple login credentials, it has the right to instantly cancel all memberships associated with that user. If a User wishes to utilize features beyond those included in Succefy's Free membership package, they can purchase a paid membership.
4.2. If the User wishes to benefit comprehensively from the Service offered by Succefy, they can create a paid membership account on the Site. As long as the User's paid membership in Succefy continues, they have the right to use the service and to download documents created via Succefy to their computers and devices such as mobile phones and tablets in PDF format by editing them. The User can purchase one of the subscription-based packages sold by Succefy, which are Premium or Lifetime memberships that renew until the User cancels, for their personal use. Accordingly, a User who purchases a paid membership can use all the paid features offered by Succefy for the specified period. The paid features can be purchased by Users only for personal use and their scope is as specified in ###. User agrees that Succefy can unilaterally amend these features any time without prior notice.

When a User purchases the "Premium" membership package available on Succefy, they subscribe to this feature, and the User's Succefy Premium membership is automatically renewed monthly. The User agrees that the renewal fee will be charged from the credit card/payment method defined when becoming a member at each billing period. Users who wishes to terminate their membership can cancel their membership through the Site. After the end of the Succefy Premium membership period, the User can edit the resume documents they have created on Succefy but cannot download the documents to their computer or devices. Downloading documents is only possible if the user repurchases one of the paid memberships (Premium or Lifetime). No recurring payment is taken from Users who purchase the Lifetime membership option on Succefy, payment is taken only once.
Users can also benefit from the Succefy Gift Card service to gift Succefy's paid Premium or Lifetime Premium packages to various Users. When a User purchases a Succefy Gift Card to gift to others, an email containing the Succefy Premium login details is sent to the person receiving the gift. The Premium membership of the person who receives the gift starts from the moment they log into the Succefy account gifted on the Site and continues for 1 month, 3 months, or Lifetime (lifetime) according to the nature of the gifted package. At the end of this period, the Succefy Premium membership of the individuals automatically ends and is not renewed. If the User wishes, they can continue their right to use by purchasing the automatically renewed Premium package from their account. Succefy Gift Card can be activated for 1 (one) year from the date it is sent to the person concerned. Gift cards that have not been activated for 1 year will expire.
4.3. The right to benefit from Services owned by Users is personal to them, and they cannot transfer the account they have created with the Site, their username, profile, or any other element they use in connection with the Site to another person, nor can they make it available for use by another person. Otherwise, Succefy reserves the right to compensation arising from such use. Succefy can suspend or cancel the memberships of users who use them contrary to this without any explanation. If other users suffer damages due to the actions of Users contrary to this article, the violating User will be responsible for the damage, and Succefy will have no obligation to compensate or any other legal/criminal responsibility.
4.4. When providing/uploading their information and content to the Site and Succefy via the Site (forms on the Site, etc.) and - if applicable - upon the special request of Succefy (via email, telephone conversation, or otherwise), the User will provide accurate and true information and content, and users accept and undertake that they will not include any content that misleads third-party individuals and organizations, that the content created through the Site has no relation or connection with Succefy and will only bind them. The information and content will be complete and not misleading in accordance with the law and morals, and information and content will not include any expressions that constitute a crime, insult, defamation, exceed the level of criticism and are disturbing, harassment, threat, degradation, illegal, threatening, annoying, insulting, swearing or defamatory, humiliating, rude, pornographic, or disruptive to public order, and cannot be used in a way that violates intellectual and copyright, trademark rights or other property rights of others. The User is responsible for all kinds of actions and transactions performed using the Site or through the Site. In this context, all legal, administrative, and criminal responsibilities of all kinds of actions and transactions performed by the User using the Site or through the Site belong to the User.
4.5. The User is obliged to update all information (for example: contact and user information) they upload to the Site and convey to Succefy when necessary. In this context, the User will also update their changing information on the Site, ensuring that all their information is always accurate and up-to-date.
4.6. The User may provide links to Social Media Accounts such as Facebook, LinkedIn, or Google+ in their resume and may access these Social Media Accounts. In this case, users accept that Succefy will have access to the information, data, messages, tags, and similar elements they share, save, or make accessible in their Social Media Accounts in accordance with the privacy settings of the relevant Social Media Accounts. Succefy does not accept any responsibility under any name if any social media site violates the privacy settings of Social Media Accounts.
4.7. The User is personally responsible for the use of their membership account on the Site, including all information related to this account such as username, password, security questions, and so forth, as well as for the security and management of these (and additionally, all the information uploaded to the Site and sent to Succefy, the information registered in the User account). The User will not share the information related to their User account, account name, and password with third parties. The User is responsible for all transactions performed with the User’s account and, in addition, all transactions carried out with the User’s username and password, and accepts, declares, and undertakes that these transactions will be considered as personally performed by the User, even if this information (User account, User’s username, password, security question/information, etc.) is used by a third party – with or without the User’s knowledge and/or consent. The User will continue to be responsible for all transactions performed with their own account, username, and/or password, even in the event of the loss of the User's username and/or password or its unauthorized use by others. In this context, the User will immediately inform Succefy in case of loss of username and/or password or in case of suspicious transactions (without limitation, for instance, if there are logins/transactions that they did not perform) (this clause applies to all other information that can be used to change the username and/or password as anticipated for the username in this clause).
4.8. The User declares and undertakes to Succefy that they will comply with (i) laws, morality, manners, (ii) all rules to be published on the Site, (iii) this Agreement, (iv) all rules communicated to them by Succefy, to all Users or to specific Users in all work and transactions they will perform on and through the Site, and also in all work and transactions they will carry out with third parties through the Site (including, without limitation – all communication to be established with other Users and the Site, all work and transactions to be done with other Users).
4.9. The User declares and undertakes that by becoming a member of the Site, they are over the age of 18.
4.10. The User declares and undertakes that in case they breach any obligation under this Agreement, fail to comply with any announcement, rule, or condition published on the Site, or fail to comply with any announcement, rule, or condition specifically conveyed to them or to multiple Users by Succefy, they will (i) compensate for all damages incurred by Succefy if Succefy suffers any damage, (ii) immediately pay Succefy, within 10 days, without the need for any payment order, or court decision, all amounts of compensation, fines, etc., that Succefy has paid in case any third party or private or administrative institution/organization, any public authority, imposes any sanction on Succefy or makes any claim against Succefy, and will compensate for all other damages of Succefy.
4.11. The User will not, under any circumstances, reverse engineer any messages, communications, applications, or other elements belonging to the Site or Succefy, nor will they attempt any unauthorized access to the Site or Site servers.
4.12. In the event that the User is provided with the opportunity to make any comments or other statements regarding any third party, User, or the Company within the Site or Services (Succefy is not under any obligation in this regard), the User will not share any political content, pornographic content, content against the law or morality, any advertisement, promotion, or commercial message, nor will they share any links to any content, file, page, or other elements belonging to themselves or third parties.
4.13. The User will not use the Site for any commercial or other purposes other than preparing online documents for personal use with the assistance of the software provided by the Site (such as resumes, cover letters, resignation letters) or gifting Premium resume packages to other users, will not use the Site to gather information about the operation of the Company or Succefy, and will not use or share with third parties the information obtained about the operation of Succefy and other information obtained by being a User for their own benefit or that of third parties. If it is determined that the User engages in such actions and as a result Succefy suffers damage, the User responsible for the damage is obliged to compensate for the material damage suffered by Succefy, and in this case, Succefy has the right to claim compensation.
4.14. The User declares and undertakes to Succefy that they will not use any software that could harm the Site, will not engage in any behavior that could damage or threaten the functions, functionality, or security of the Site, will not attempt to access any information, data, or data on the Site that they do not have the right to access, and will not engage in any behavior/attempts that could jeopardize the security of other Users or their information or cause them harm.
5. Succefy’s Rights
5.1. Information collected via the Site and – if Succefy deems necessary – by contacting the User will be used by Succefy for the provision of the Service (including the offering of other services via the Site, if provided). In this context, all kinds of information provided by the User, transmitted or obtained from the User, will be used for purposes such as creating resumes, cover letters, resignation letters, etc., generating general reports about Users, conducting statistical studies, preparing resume notifications, conducting all kinds of promotions, sending promotional messages and electronic communications, analyzing User information, identifying suitable job postings for Users, and creating Site and Service content (and for other activities that Succefy may carry out in the future). In this framework, the User expressly consents to the use of all information they have provided to Succefy for these purposes and declares and undertakes this to Succefy.
5.2. Succefy has the rights, entirely at its own discretion, to reject any individual’s membership application, to suspend and/or terminate the Site membership and User status of a User without any notice period and without any obligation for compensation or debt, and has the authority to terminate the contract. Succefy is not obliged to provide any reason while carrying out these actions. If legally required, Succefy can request additional information and/or documents from a User for their User status to continue or may set conditions.
5.3. Although Succefy, Succefy may suspend or terminate the User's Site membership and User status if it detects the existence of one of the following situations:
(i) the User violates the conditions of this Agreement, or Succefy suspects – at its own discretion – that the User has engaged in such behavior,
(ii) any information provided by the User about themselves is not true (this includes information about the User’s identity, past, and experiences, as well as contact information),
(iii) any complaints or negative comments are made about the User by any other User, the Company, or a third party.
5.4. Succefy may at any time, entirely at its own discretion, without showing any reason, without any obligation for compensation, and without any obligation to notify any User (or Users):
● Close the Site for infrastructure or maintenance work,
● Partially or completely close the Site to access and block all access to the Site partially or completely,
● Unilaterally change all announcements, rules, conditions, and the 'Information Text on the Provision, Processing, and Protection of Personal Data' published on the Site – to be immediately binding for all Users,
● Change, remove, stop, add to various functions of the Site, or alter/reduce their effects,
● Change the scope of the Service offered and the pricing for paid packages at its own discretion, and may decrease or increase these,
Make any part of the Site and/or Site functions and/or the Service offered (within the limits permitted by legislation) chargeable or free.
● The User will personally follow all the above-mentioned changes, and Succefy is not obligated to notify any changes related to these. The User, by using the Site, is deemed to have expressly accepted all changes made on the Site, the functions of the Site, the rules and conditions of the Site, and the 'Information Text on the Provision, Processing, and Protection of Personal Data'.
5.5. Succefy takes reasonable measures to ensure the security of the information and data provided to it by Users. However, unfortunately, no transaction over the internet is 100% secure. Provided that Succefy takes reasonable measures to ensure the security of the Site, all risk and responsibility regarding the security of the Site belong to the Users.
6. Provision of Services at the Discretion of Succefy
6.1. Succefy, at its own discretion and by the method it determines, uses the information provided/transmitted to it by the Users to create the User's resume, cover letter, and resignation letter online through the resume, cover letter, and resignation letter templates chosen by the User. Succefy allows paid users to download all documents, and allows free (Free) users to download their resumes once for free in PDF version to their computers.
6.2. Succefy does not make any commitment to the User to find a job with the resumes and cover letters created online. All kinds of services provided by Succefy (including the Service defined above) will be given at Succefy's own discretion, in the manner Succefy deems appropriate. In this context, Succefy completely at its discretion creates resume files using the information provided by the Users and can use any method, analysis, criteria, rules, and/or practice it desires in relation to the creation of the documents.
6.3. Within this framework, the User does not have the right to demand Succefy to prepare resumes with resume templates that are not available on the Site, to provide services beyond the services provided at Succefy's discretion, and to apply different criteria, rules, methods, systems, etc., than those used by Succefy.
7. Limitation of Succefy’s Liability, User’s Responsibility
7.1. As previously explained, Succefy does not make any commitment to find employment for the User with the documents prepared online or with the software support provided for this purpose. Succefy does not declare or promise that it will find any job for the User through the Site or Services (or through any other services provided by Succefy).
7.2. Succefy makes no representation or commitment to the User regarding the accuracy or veracity of the information transmitted to the User through the Site or Applications, or the suitability of the resume preparation suggestions, online resume themes for the User, or that the resumes prepared by the User will result in being called for an interview or hired for any job posting (or even if hired, that the job will meet the desired/anticipated criteria).
7.3. Succefy is not liable for any direct or indirect damages that may arise from the use of the Site or from the use of the Service (or any other services provided by Succefy). Similarly, Succefy is not liable for any direct or indirect damages that may arise due to the use of the Site by third parties.
7.4. Succefy is not liable for any direct or indirect damages that may arise due to the Service (or any other services provided by Succefy) being provided incompletely or incorrectly, any defects in the services, loss of User information, deletion or incorrect recording, or the failure to transmit any communication, message, or information that should be transmitted.
7.5. Succefy is not liable for any direct or indirect damages that may arise from the use of the Site or from the use of the Service (or any other services provided by Succefy) due to reasons such as theft of information, other theft incidents, unauthorized processing of information and data, or contamination by computer viruses. Succefy may transfer information belonging to Users to official authorities as limited with the request of official authorities.
7.6. Succefy is not liable for any direct or indirect damages that may arise from the use of the Site or from entering websites linked on the Site (or links transmitted by Succefy). The User accepts, declares, and undertakes that websites, contents, files, platforms, etc., located in the links given on the Site or transmitted by Succefy, may not be under the control of Succefy, and that Succefy has no responsibility for websites, contents, files, platforms, etc., that are owned by / managed by third parties (and all services and products offered through them).
7.7. Succefy does not declare or guarantee that any information provided through the Site or within the Service (or any other services provided by Succefy) is accurate, complete, or reflects the truth. Succefy does not declare or guarantee that the features, content, or functions within the Site are accurate, complete, or will lead to any result. Succefy is not obliged to investigate whether the information provided through the Site or within the Service (or any other services provided by Succefy) is accurate, whether it reflects the truth, or whether the publication or transmission of such information is lawful. Services provided through Site shall be provided “as-is”.
7.8. Succefy is not liable for any direct or indirect damages arising from the information that the User uploads to the Site, transmits to Succefy, or is otherwise present in the User's account or profile being erroneous, incomplete, or incorrect. All responsibility regarding this information belongs to the User.
7.9. The User is solely responsible for all responsibilities arising from the information they upload to the Site, transmit to Succefy, or any content, comments, information, etc., present in any other way in the User’s account, resumes, or profile. Should such content cause any damage to Succefy, the User will be revoked for the said damage.
7.10. Information, comments, critiques concerning and/or belonging to the User may be shared by Succefy or third parties on the Site or other mediums, and the User pre-consents to their sharing and will not make any claims against Succefy under any name for these reasons, nor will Succefy be liable for any direct or indirect damages that may arise from these.
7.11. The User preemptively accepts and declares that Succefy has no responsibility for any problems that may be encountered due to access to the Site, such as connection quality, etc., and that Succefy has no declaration or commitment regarding the possibility or quality of access to the Site."
7.12. Succefy will not be liable for any unlawful interventions on the Site by third parties, unauthorized access to the Site, viruses infecting Users' computers, mobile phones, tablets, or other devices due to or associated with the Site, cyber-attacks carried out on the Site, or theft of various information from the Site. The User will not make any claims against Succefy under any name for these situations, nor will they demand compensation for any damages incurred due to these situations. The User is obligated to take all necessary precautions to protect their computers, mobile phones, tablets, and other devices against viruses and other harmful software in relation to the issues listed in this clause 6.
8. Protection of Personal Data, Cookies
8.1. Succefy will comply with its obligations as determined by the Law No. 6698 on the Protection of Personal Data, and in this regard, the 'Succefy Website Privacy Policy' provided on the Site will be applied, which includes Succefy’s obligations and detailed information related to the processing of personal data. Above-mentioned privacy policy is an integral part of this Agreement.
8.3. During the User's use and visitation of the Site, Succefy may place cookies or codes intended to analyze the User's data and transactions (such as JavaScript codes or other codes) or similar tracking data on the User's computer. Such cookies include information aimed at facilitating the User's use of the Site. These data are collected via your devices that access browsers. The information collected is specific to the devices and can be deleted by the user at any time, and access to the information can be disabled. Information regarding the personal data processed by cookies shall be included in the “Succefy Cookie Policy”.
9. Intellectual Property Rights
9.1. The User (whether a member of the Site or not) pre-emptively accepts, declares, and undertakes that all intellectual property rights related to all kinds of codes, software, text, visuals, and all sorts of content, designs, logos, images, graphics, charts, plans, themes, resume templates, cover letter templates, resignation letter templates and contents, diagrams, and other elements located on and within the Site’s infrastructure (all of which will be referred to as "Works"), and the database concerning the Site, are owned by Succefy (All intellectual property rights related to the Works and the database, as well as other intellectual property rights owned by Succefy, will together be referred to as "Intellectual Property Rights").
9.2. Intellectual Property Rights of Succefy shall not be violated by the User or third parties in any way. In this context, any act beyond personal use and reasonable use of the Site, including copying, reproducing, publishing, offering to the public, processing, and any other use of any Work or database will be considered an infringement of Intellectual Property Rights.
9.3. The design of the final documents such as resumes, cover letters, and resignation letters that can be downloaded through the Service, pursuant to clause 9.1., are the property of Succefy. The User acknowledges that Succefy does not permit the use, copying, or use for any purpose other than job applications of the designs on the Site or the combination of documents made by the Site within the service. In the event of such a violation, the User is obligated to compensate for the damage incurred by the Site. Succefy's right in this regard continues after the termination of the agreement.
10. Warranty, Premium (Paid) Account, and Refund Policy
10.1. Succefy strives to provide the best service and software products to its users, but as stated in section 6, by using the Site, you understand and agree that Succefy provides its services 'at its own discretion.' Succefy does not guarantee to free (Free) and paid (Premium, Lifetime) members, nor to non-member visitors/users, the following:
● That the Site will always be active and online 24/7,
● That the information on the Site is complete and correct,
● That the Site will meet all Users' needs and expectations,
● That the Site will provide uninterrupted service,
● The 100% security of User information (Succefy takes the necessary measures to keep User information secure, but unfortunately, no transaction over the internet is 100% secure. Therefore, the ultimate responsibility and risk in this matter belong to the User),
● That there will never be any data loss regarding the data uploaded by the User to the Site.
10.2. Succefy reserves the right to change the structure and design of the resumes, cover letters, or other various services on the Site. These changes can be made based on feedback from our users, research, consultation with HR experts, or entirely at Succefy’s discretion.
10.3. The User, upon purchasing one of Succefy's paid membership packages, Premium or Lifetime, will be charged the total amount for the Service relevant to the billing period in a single payment. The User can see the total fee amount they will pay on the payment screen.
10.4. When the User purchases any of the paid memberships, Premium or Lifetime packages, on the Site, they subscribe to the respective feature, and the User's relevant Succefy Premium membership is automatically renewed each month. The User agrees that the renewal fee will be charged from the credit card specified at the time of membership at each billing period. For Users who purchase the 'Monthly Premium' membership package, the billing period begins on the date of the start of the paid membership and is renewed on a monthly basis. Thus, Succefy receives the total payment for the relevant month from the payment method shared by the User with the Site each month. For the 'Quarterly Premium' membership package, the billing period begins on the date of the start of the paid membership, and a total payment for 3 months is taken from Users every recurring quarter. The billing period for all Premium membership packages is determined based on calculations made by Succefy databases, and the number of days per month can vary between 28 to 31 days, depending on the month. Users who wish to terminate their membership can cancel their subscriptions through the Site.
10.5. Succefy reserves the right to change the prices of the Services offered at its discretion when introducing new promotions, packages, or services, when changes related to external factors such as taxes, VAT regulations, or inflation/deflation occur, or entirely at its own discretion.
10.6. Since some of the paid features offered to the User through the Site can be tested for free through a Free membership, Succefy will not issue any refunds if a User with a paid membership (Premium and Lifetime) cancels their account requesting a refund. Every User who subscribes to the Site is considered to have understood and accepted this. The only exceptional case where Succefy may issue a refund is specified in the following clause 10.7.
10.7. In the unfortunate event that a User's transaction for a paid (Premium or Lifetime) membership on the Site results in the paid account not being activated due to a crash or technical problems with the software, application, or servers, the User is obligated to email Succefy at info@succefy.com explaining the situation and including relevant screenshots if a payment has been made. In this case, if Succefy determines that the problem originated from the Site, a refund may be processed.
10.8. If the User uses the Site with malicious intent, engages in malicious activities, shares information related to the Site with third parties, or if Succefy has suspicions in this direction, Succefy may instantly cancel the membership of the relevant free or paid accounts and/or permanently delete them. In such a case, if Succefy incurs any damage, the User is obligated to cover the damages within 3 days without the need for any court decision.
10.9. If a User encounters a problem with payment, and they reach out to Succefy via email at info@succefy.com with an explanation of the situation and including relevant screenshots, the Succefy team will review the request as soon as possible and will respond to the User within a maximum of 30 days. If Succefy does not make any notification within 30 days, the User's request for a refund will be considered denied.
10.10. After purchasing a paid (Premium or Lifetime) account on Succefy, the User will be sent an invoice to the email address associated with their user account within 30 days following the purchase. If the invoice does not reach the User within 30 days after the purchase, the User should first check their spam or junk email folder or email filters. The User is responsible for ensuring that their email account is set up to receive the invoice, and Succefy accepts no responsibility for any consequences of the User's failure to do so. The User can email Succefy at info@succefy.com within 7 days to request a receipt if the invoice cannot be sent by Succefy due to technical problems originating from the Site and/or that may occur.
11. Effectiveness
11.1. This Agreement shall enter into force and become binding for the Parties when the User reads and accepts this Agreement on the Site during the stage of becoming a free or paid member of the Site.
11.2. Succefy reserves the right to accept any person as a User or to refuse membership, and also has the right, at any time (at its own discretion, without any obligation for compensation or notice), to remove anyone from this status (i.e., Site membership) or to suspend this status (i.e., Site membership).
11.3. As previously explained, Succefy may at any time, entirely at its own discretion, without showing any reason, without any obligation for compensation, and without any obligation to notify any User (or Users):
• Partially or completely close the Site to usage,
• Change the Site as it wishes,
• Block all access to the Site,
• Partially or completely block or suspend access to the Site for any User or multiple Users,
• Cancel the membership of any User or multiple Users on the Site, thereby terminating the 'User' status of the said User or Users,
• The User can also terminate their membership on the Site and thus their User status in the manner described or indicated on the Site.
11.4. In this context, Succefy may terminate this Agreement at any time without providing any reason, without being under any obligation for claims and compensation. Succefy may send the termination notification to the User through any communication channel that the User has provided/informed to Succefy or uploaded to the Site, either orally or in writing, or in electronic format (by electronic message, email, or other electronic means). The Parties agree that requests made to old email addresses will be valid and deemed to have been made to them, unless they notify the other party in writing of changes in their current emails within 3 (three) days.
11.5. As explained above, due to the termination of this Agreement, the User cannot demand any compensation or any claims under any name from the Succefy. However, Succefy's right to claim compensation for reasons other than termination is reserved, as are clauses 11.6 and 11.7.
11.6. In the event of the termination of a User's membership or User status on the Site (whether by the User's own request or as a result of any act or transaction by Succefy), this will not affect the User's responsibility for actions, payments, and transactions performed during the period of membership (and/or User status), and all such responsibilities of the User will continue for that period.
11.7. In this context, the User will continue to be responsible for all actions and transactions made with their User account, username, and password related to the Site, and in the event that Succefy incurs any damage due to any act or transaction made by the User during their membership (or due to any act or transaction with any third party after the membership has ended), the User will continue to be obligated to compensate for all damages incurred by Succefy.
12. Miscellaneous Provisions
12.1. Notifications related to this Agreement between the Parties shall be made in accordance with this article. In this framework, if a notification is to be made by the User to Succefy, the User can send the notification via the email specified on the Site. If Succefy is to make a notification to the User, Succefy can send it through any communication channel that the User has provided/informed to Succefy or uploaded to the Site, either orally or in writing, or in electronic format (by electronic message, email, or other electronic methods). Any communication information uploaded by the User to the Site shall be binding for the User, and the User is obliged to immediately update these in case of any changes and also to notify Succefy. If Succefy sends any communication to a communication tool/channel uploaded to the Site (in oral, written, or electronic format), such communication shall be deemed to have been received on the day it was sent.
12.2. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity of the other provisions of the Agreement. In this context, if any provision is found to be invalid or unenforceable, it shall be deemed as if that provision never existed, and the Parties will accept the nearest meaningful valid and enforceable provision that closely resembles the economic outcome of the invalid or unenforceable provision.
12.3. The failure of any Party to exercise any right for a short or extended period of time shall not be construed as a waiver of that right. A waiver of any right shall not imply a waiver of other rights. A waiver of any right by Succefy will only be valid if communicated in writing to the User (a waiver by Succefy via email or other electronic communication is not valid). The User can waive any rights through any verbal, written, or electronic communication.
12.4. As a matter of evidence agreement, in any disputes arising out of this Agreement, all kinds of books, information, documents, and the physical and electronic records of Succefy will be considered as conclusive evidence between the Parties within the framework of Article 193 of the Turkish Code of Civil Procedures (HMK) No. 6100.
12.5. This Agreement is subject to Turkish Law, and exclusively the Courts and Execution Offices of Istanbul Anatolia shall have jurisdiction over all disputes arising from or related to the Agreement and its application.
12.6. The User, by becoming a member of the Site, accepts, declares, and undertakes to Succefy that they have read this Agreement in its entirety, understood it, and accept all its terms and conditions.
